Acceptable Use Policy
The Veroxity Technology Partners, LLC (“VEROXITY”) Acceptable Use Policy (AUP) is designed to help protect those persons (referred to herein as “Customers”) that utilize any facilities of or provided by VEROXITY, the Internet community and Veroxity, from irresponsible or illegal activities. We prohibit the impersonation of others, unsolicited commercial appeals, and any disruption of Internet services. Our Acceptable Use Policy is designed to promote the responsible and constructive use of the Internet and all of Veroxity’s services. Persons obtaining services from VEROXITY, including but not limited to Internet access, agree to the following terms governing Veroxity’s services and understand that failure to adhere to this AUP may result in immediate termination of contracted services by VEROXITY, indemnification obligations or liability to Veroxity, or liability to third parties
Appropriate Use
Customer acknowledges that in using any contracted service(s), the Customer may be exposed to content transmitted through or contained within facilities used to provided the service(s) that may be offensive, indecent or objectionable. VEROXITY shall have no responsibility or liability whatsoever for any Content, for any errors or omissions in any Content, or for any loss or damage of any kind incurred as a result of the use of any Content posted, e-mailed or otherwise transmitted via the contracted service(s). Customers using services provided by VEROXITY shall not use or allow the use of services, including Internet access for illegal or improper purposes or in an illegal or improper manner. This includes, without limitation, actions described below, which would be deemed an improper purpose and hence, unacceptable conduct under this AUP.
- Any activities which adversely affect the ability of other people or systems to use VEROXITY services or the Internet. This includes "denial of service" (DoS) attacks against another network host or individual user.
- Engaging in hacking, port scanning or any other attempt, whether successful or unsuccessful, to gain unauthorized access to any computer system, network or other entities’ data.
- Sending unsolicited commercial e-mail (Spam) or large volumes of unsolicited e-mail. Using a VEROXITY e-mail or website address to collect responses from unsolicited commercial e-mail is also prohibited.
- Sending e-mail or any activities that defraud or wrongfully collect any data, including but not limited to phishing schemes.
- Transmitting content that is unlawful, libelous, slanderous, threatening, or defamatory.
- Unauthorized copying or transmission of copyrighted, trademarked, or other proprietary material or any other infringement of intellectual property rights.
- Propagating computer worms or viruses.
- Unlawfully collecting or storing personal data about other users.
- Adding, removing, or modifying identifying network header information (a.k.a. “spoofing") in an effort to deceive or mislead.
- Violation of any law, including but not limited to orders of courts or government agencies, regulations and statutes.
- Any act or omission that exposes Veroxity, its directors, officers, employees, trustees or affiliates to any liability, whether civil or criminal.
Violations of this AUP shall not be limited to an affirmative act that results in any violations, but shall also include attempted actions, evidence of an intent to violate any of the prohibited matters or evidence of inaction that could reasonably be known to result in any violation.
Indemnification
Customer agrees to and shall defend, indemnify and hold VEROXITY and its directors, officers, employees, representatives and affiliates harmless from any and all claims liabilities, damages including statutory damages and awards of damages by a jury, court or other tribunal, costs and expenses, including reasonable attorneys' fees, related to or arising from actual or alleged: Violation of the AUP by Customer or third parties who access services through Customer's account, claims of infringement of any intellectual property rights, unlawful use or use in violation of a license agreement of any third party’s software arising from Customer’s use of such software or access to such software through Customer’s account, or claims of third parties relating to the use of services through Customer's account, including without limitation damages and liabilities resulting from electronic commerce conducted through Customer's account and the placement or transmission of any message, information, software, audio files or other materials on the Internet.
Termination and Cooperation
VEROXITY may, take action up to and including terminating Customer's access to the contracted services if VEROXITY discovers, determines or reasonably believes that Customer has violated VEROXITY's Acceptable Use Policy or acted inconsistently with the letter or spirit of VEROXITY's Acceptable Use Policy. VEROXITY shall not be liable to Customer or any third-party for any termination of Customer's access to the contracted services. Customer shall also cooperate fully, at Customer’s expense, with any investigation or remedial responses taken by Veroxity, a regulatory body, any governmental authority, or any law enforcement body in connection with any violation or suspected or alleged violation of this AUP.
Miscellaneous
If any provision of VEROXITY's Acceptable Use Policy is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of VEROXITY's Acceptable Use Policy shall remain in full force and effect. The section titles in this Acceptable Use Policy are for convenience only and have no legal or contractual effect. VEROXITY may amend, supplement or revise this Acceptable Use Policy from time to time. If VEROXITY does amend, supplement or revise this Acceptable Use Policy, VEROXITY will post such changes on its web site; it is Customer's responsibility to apprise itself of any such changes.
"VEROXITY" and "VEROXITY TECHNOLOGY PARTNERS" are registered in the U.S Patent and Trademark Office.
